These Terms of Service ("Terms") govern your access to and use of the website at aaanetworkx.com ("Site") and any managed IT, cybersecurity, network, cloud, or related services ("Services") provided by AAA NetworkX Inc. ("AAA NetworkX", "we", "us", or "our"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our Services.
1. Services
AAA NetworkX provides managed IT, cybersecurity, network design, virtualization, Microsoft 365, AWS, and Azure services to business clients in Edmonton and Western Canada. The specific scope, deliverables, service levels, and pricing for any engagement are set out in a separate written Master Services Agreement ("MSA"), Statement of Work ("SOW"), proposal, or quote. In the event of conflict between these Terms and a signed MSA or SOW, the MSA or SOW controls.
2. Site Use and Eligibility
The Site is intended for users who are at least 18 years old and have the legal authority to enter into agreements on behalf of themselves or their employer. You agree to use the Site only for lawful purposes and in a manner consistent with these Terms.
You agree not to:
- Use the Site to transmit malware, viruses, or any code intended to damage, interfere with, or gain unauthorized access to any system
- Attempt to probe, scan, or test the vulnerability of the Site or any AAA NetworkX system without prior written authorization
- Reverse engineer, decompile, or otherwise attempt to derive the source code of any software made available through the Site
- Scrape, copy, or republish substantial portions of Site content without our prior written consent
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Site in any manner that violates applicable Canadian, provincial, or local law
3. Intellectual Property
All content on the Site — including text, graphics, logos, images, blog posts, illustrations, code, and the AAA NetworkX shield wordmark — is the property of AAA NetworkX Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and view Site content for your personal or internal business reference. No other rights are granted, including the right to redistribute, modify, or use Site content for commercial purposes, except as expressly permitted in writing.
If you submit feedback, ideas, or suggestions to us, you grant AAA NetworkX a worldwide, royalty-free, perpetual license to use that feedback for any business purpose without obligation.
4. Service Engagements
Engagement of our Services is contingent on execution of a written agreement. Without limiting that agreement:
- Authorization: You represent that you have full authority to engage AAA NetworkX with respect to the systems, networks, accounts, and data covered by the engagement.
- Cooperation: You agree to provide timely access, credentials, and information reasonably required to perform the Services.
- Third-party services: Our Services may rely on third-party platforms (e.g., Microsoft, Cisco, Juniper, AWS, Azure, Cloudflare). Your use of those platforms is governed by their respective terms, and we are not responsible for changes, outages, or data handling on those platforms outside of our control.
- Backups: You remain responsible for maintaining independent backups of your data unless backup services are explicitly included in a signed SOW.
5. Confidentiality
Each party may receive non-public information about the other in the course of the engagement. Both parties agree to use commercially reasonable measures to protect such information and to use it only for the purposes contemplated by the engagement. This obligation survives termination of any agreement. Specific confidentiality terms in a signed MSA or non-disclosure agreement supersede this section.
6. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or our Services, you acknowledge our handling of personal information as described in that policy, in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Alberta's Personal Information Protection Act (PIPA).
7. Disclaimer of Warranties
The Site and any general informational content (blog posts, technical articles, public-facing documentation) are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, and we make no warranty that information on the Site is accurate, complete, current, or suitable for any particular purpose.
Nothing in this section limits any warranties or service-level commitments expressly set out in a signed MSA or SOW for paid Services.
8. Limitation of Liability
To the fullest extent permitted by applicable law, AAA NetworkX, its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of the Site or any free, general informational content, even if we have been advised of the possibility of such damages.
For paid Services, the parties' liabilities are governed by the limitation-of-liability provisions in the signed MSA or SOW. Where no such agreement exists, our aggregate liability for any claim arising out of or related to use of the Site is limited to one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless AAA NetworkX and its directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Site; or (c) your violation of any applicable law or the rights of any third party. This obligation does not extend to claims arising from our gross negligence or willful misconduct.
10. Third-Party Links and Content
The Site may contain links to third-party websites or content (vendor documentation, RFCs, news articles, etc.) provided for convenience. We do not endorse and are not responsible for the content, accuracy, or practices of those third parties.
11. Termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that risks harm to the Site, our clients, or other users. Termination of any paid engagement is governed by the signed MSA or SOW.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of the Site will be brought exclusively in the courts of competent jurisdiction located in Edmonton, Alberta, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. Material changes affecting paid Services will be communicated separately under the terms of the applicable MSA or SOW.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced with a valid one that most closely matches the original intent.
15. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any signed MSA, SOW, or other written agreement between you and AAA NetworkX, constitute the entire agreement between the parties with respect to the subject matter and supersede any prior or contemporaneous understandings.
